Welcome to NoteMood.

These Terms of Service ("Terms") govern your access to and use of notemood.com (the "Site"), including any purchases, wholesale applications, customer accounts, products, content, features, and services made available through the Site (collectively, the "Services").

By accessing the Site, creating an account, applying for wholesale access, placing an order, or otherwise using the Services, you agree to these Terms and any additional policies referenced in them.

If you do not agree to these Terms, please do not use the Services.

1. Eligibility and Use of the Site

You must have the legal capacity to enter into a binding agreement in your jurisdiction to use the Services or place an order.

If you use the Services on behalf of a company, store, organization, or other legal entity, you represent that you have authority to act on behalf of that entity and bind it to these Terms.

You agree to provide current, complete, and accurate information when creating an account, submitting a wholesale application, placing an order, or communicating with us.

2. Wholesale and Trade Accounts

Certain NoteMood products, pricing, or purchasing features may be available only to approved wholesale or trade customers.

To access wholesale pricing, you may be required to submit a Trade Application or otherwise provide information reasonably necessary for us to verify your business.

This information may include:

  • Business or store name

  • Business contact information

  • Website or sales channel information

  • Business address

  • Resale certificate, seller's permit, or tax identification information, where applicable

  • Business type

  • Other information reasonably necessary to review your application

Submission of a wholesale application does not guarantee approval.

NoteMood reserves the right to approve, reject, suspend, or revoke wholesale access where reasonably necessary, including where information provided is inaccurate, account activity is inconsistent with the intended use of the wholesale program, or these Terms are violated.

Wholesale account access may not be transferred or shared with unauthorized third parties.

3. Wholesale Pricing

Wholesale pricing is available only to approved wholesale customers.

Wholesale prices may be hidden from public visitors in order to protect our retail partners and maintain the integrity of our wholesale program.

Unless otherwise stated, prices displayed to an approved wholesale customer apply only to that account and may not be copied, published, distributed, or represented as public retail pricing.

Prices are subject to change from time to time.

A price change will not ordinarily affect an order that we have already accepted, except where an obvious pricing or technical error has occurred.

4. Minimum Order Requirements

The current minimum order value for a NoteMood wholesale order is $120 USD, excluding shipping, taxes, customs duties, and other applicable charges unless otherwise stated.

Certain products may also be subject to individual minimum quantities, pack sizes, quantity increments, or other purchasing requirements displayed on the applicable product page or within the wholesale account.

We may update minimum order requirements from time to time.

5. Orders and Order Acceptance

Submitting an order through the Site constitutes an offer to purchase the selected products.

An order is not necessarily considered finally accepted solely because an automated order confirmation has been generated.

We reserve the right to refuse, limit, or cancel an order where reasonably necessary, including in situations involving:

  • Product unavailability

  • Inventory discrepancies

  • Pricing or product information errors

  • Suspected fraud

  • Payment authorization issues

  • Violation of these Terms

  • Shipping or regulatory restrictions

  • Orders that we reasonably believe are not legitimate commercial transactions

If we cancel an order after payment has been collected, we will refund the applicable amount in accordance with our payment and refund procedures.

6. Order Changes and Cancellations

We begin processing orders as quickly as possible.

Cancellation requests should be submitted within 24 hours of placing an order.

Once an order has entered processing, packing, production, or shipment preparation, we may no longer be able to cancel or modify it.

Submitting a cancellation request does not guarantee that the order can be canceled.

7. Product Information and Availability

We make reasonable efforts to ensure that product descriptions, images, specifications, colors, dimensions, availability, and other information displayed on the Site are accurate.

However, minor variations may occur, particularly due to:

  • Screen and display differences

  • Manufacturing tolerances

  • Packaging changes

  • Product updates

  • Photography and lighting conditions

Product availability is not guaranteed until an order is accepted and processed.

We reserve the right to modify, discontinue, replace, or limit quantities of products at any time.

8. Payment

Unless otherwise specified, prices on the Site are quoted in U.S. Dollars (USD).

You agree to provide accurate and authorized payment information when placing an order.

By submitting payment information, you represent that you are authorized to use the selected payment method.

Payments may be processed by Shopify and/or third-party payment providers.

We do not necessarily receive or store complete payment card information directly.

Any special payment terms, credit arrangements, deposits, or invoicing terms offered to specific wholesale customers will be governed by the terms presented or agreed upon for that account or order.

9. Shipping and Delivery

NoteMood currently ships orders using express air delivery services provided primarily by DHL and FedEx.

Available services may include:

  • DHL Express

  • FedEx International Priority (IP)

  • FedEx International Connect Plus (FICP)

  • FedEx International Economy (IE)

Available shipping services depend on the shipment destination, order weight, carrier availability, and other order-specific circumstances.

Delivery estimates are provided for reference only and are not guaranteed delivery dates.

Current estimated carrier transit times are generally:

  • DHL Express: 1–3 days

  • FedEx International Priority (IP): 3–5 business days

  • FedEx International Connect Plus (FICP): 5–9 business days

  • FedEx International Economy (IE): 7–15 business days

Delivery may be delayed due to customs clearance, carrier operations, weather, holidays, local delivery conditions, government actions, or other circumstances outside our reasonable control.

10. Shipping Charges

Shipping charges are calculated based on factors including:

  • Actual shipment weight

  • Destination

  • Selected shipping service

  • Applicable carrier rates

Carrier rates are generally calculated using 0.5 kg weight increments.

NoteMood currently contributes 40% of the applicable shipping cost on every order, and the customer pays the remaining 60%.

The shipping amount presented when your order is confirmed will reflect this contribution.

Shipping policies and promotional arrangements may be updated from time to time.

11. Taxes, Duties, and Customs

Orders may be subject to sales tax, value-added tax, import duties, customs charges, brokerage fees, or other government-imposed charges depending on the destination and applicable law.

Unless the Site, checkout, invoice, or shipping terms specifically state otherwise, such charges are not included in the product price.

The customer is responsible for providing accurate customs, tax, and business information required for shipment and import clearance.

Where legally required, NoteMood may collect applicable taxes at checkout or through another appropriate payment process.

12. Returns, Refunds, and Claims

Returns, refunds, damaged products, missing products, incorrect products, cancellations, and related claims are governed by our Refund & Return Policy.

By placing an order, you agree to review and comply with that policy.

Nothing in these Terms is intended to limit any non-waivable rights you may have under applicable law.

13. Wholesale Resale

Approved wholesale customers may purchase NoteMood products for legitimate commercial resale.

You are responsible for ensuring that your resale activities comply with applicable laws, marketplace rules, tax requirements, and other obligations applicable to your business.

You may not:

  • Misrepresent yourself as NoteMood or as an employee, affiliate, or official representative of NoteMood

  • Make false or misleading claims about NoteMood products

  • Remove, alter, or misuse trademarks or branding in a misleading way

  • Use NoteMood materials in connection with unlawful, deceptive, or infringing activities

Any channel-specific resale restrictions communicated separately to an approved buyer will form part of the applicable commercial relationship.

14. Product Images and Marketing Materials

NoteMood may provide approved wholesale customers with product photographs, descriptions, videos, or other marketing materials ("Marketing Assets").

Unless otherwise stated, approved buyers receive a limited, non-exclusive, non-transferable permission to use these Marketing Assets solely for legitimate promotion and resale of genuine NoteMood products.

You may not:

  • Claim ownership of NoteMood Marketing Assets

  • Sell, sublicense, or redistribute them as standalone content

  • Use them to promote counterfeit or unrelated products

  • Materially alter trademarks, logos, or brand identifiers in a misleading way

Permission to use Marketing Assets may end if your wholesale relationship with NoteMood ends.

15. Intellectual Property

The Site and its contents, including text, photographs, graphics, logos, trademarks, product imagery, layouts, videos, software, and other materials, are owned by or licensed to NoteMood and may be protected by copyright, trademark, and other intellectual property laws.

Except for the limited permissions expressly provided in these Terms, no rights in NoteMood intellectual property are transferred to you.

You may not reproduce, distribute, modify, publish, scrape, commercially exploit, or create derivative works from Site content without authorization, except where permitted by applicable law.

16. Customer Accounts

You are responsible for maintaining the confidentiality and security of your account credentials.

You are responsible for activity conducted through your account unless caused by circumstances for which you are not legally responsible.

You should notify us promptly if you believe that your account has been accessed without authorization.

We may suspend or restrict an account where reasonably necessary to protect the customer, NoteMood, or the security of the Services.

17. Prohibited Uses

You may not use the Site or Services to:

  • Violate applicable laws or regulations

  • Engage in fraud or deceptive conduct

  • Submit false or misleading information

  • Infringe intellectual property rights

  • Introduce malware, malicious code, or harmful technology

  • Attempt unauthorized access to the Site or other accounts

  • Interfere with Site security or functionality

  • Scrape, harvest, or collect data through unauthorized automated means

  • Impersonate another person, business, or NoteMood representative

  • Use the Services for unlawful or abusive purposes

We may restrict access where we reasonably believe prohibited activity has occurred.

18. Third-Party Services and Links

The Site may use or link to services provided by third parties, including Shopify, payment processors, shipping providers, social media services, analytics providers, and other technology platforms.

We do not control all third-party services and are not responsible for their separate terms, privacy practices, availability, or content.

Your use of a third-party service may be subject to that provider's own terms.

19. Errors and Inaccuracies

Occasionally, information on the Site may contain typographical errors, inaccuracies, or omissions relating to:

  • Product descriptions

  • Pricing

  • Promotions

  • Shipping charges

  • Delivery estimates

  • Inventory availability

  • Other product or order information

We reserve the right to correct such errors and update information.

Where an error materially affects an order that has already been submitted, we may contact you before proceeding or cancel and refund the affected order where appropriate.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and Services are provided on an "as available" basis.

We do not guarantee that the Site will always be uninterrupted, error-free, or free from harmful components.

Product warranties, if any, will be limited to those expressly provided by NoteMood or the applicable manufacturer.

Nothing in these Terms excludes warranties, guarantees, or rights that cannot lawfully be excluded.

21. Limitation of Liability

To the maximum extent permitted by applicable law, NoteMood and its officers, employees, contractors, affiliates, and suppliers will not be liable for indirect, incidental, special, punitive, or consequential losses arising from your use of the Services or purchase of products, including loss of profits, revenue, business opportunity, or data.

Where liability cannot legally be excluded, our liability will be limited only to the extent permitted by applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

22. Force Majeure

NoteMood will not be responsible for delay or failure to perform obligations where the delay or failure results from circumstances reasonably outside our control.

These circumstances may include:

  • Natural disasters

  • Severe weather

  • Fire or flood

  • War or civil disturbance

  • Government restrictions

  • Customs delays

  • Labor disputes

  • Carrier disruptions

  • Transportation interruptions

  • Global supply chain disruptions

  • Epidemics or public health emergencies

  • Internet or infrastructure outages

We will make reasonable efforts to resume performance when circumstances allow.

23. Indemnification

To the extent permitted by applicable law, if you use the Services on behalf of a business, you agree to indemnify NoteMood against third-party claims, losses, liabilities, or reasonable costs arising from your unlawful use of the Services, violation of these Terms, or infringement of another party's rights.

This provision does not apply where prohibited by applicable law.

24. Termination

You may stop using the Services at any time.

We may suspend or terminate access to the Services or wholesale account privileges where reasonably necessary, including for:

  • Material violation of these Terms

  • Fraudulent or abusive conduct

  • Unauthorized use of wholesale access

  • Non-payment

  • Security risks

  • Legal or regulatory requirements

Provisions that by their nature should survive termination will remain effective, including intellectual property, payment obligations, liability provisions, and dispute-related terms.

25. Privacy

Our collection and use of personal information are described in our Privacy Policy.

By using the Services, you acknowledge that your personal information may be processed as described in that policy.

26. Governing Law

These Terms and any disputes relating to the Services will be governed by the laws of:

28. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

29. Entire Agreement

These Terms, together with any policies expressly incorporated by reference, constitute the agreement governing your use of the Services, except where separate written commercial terms have been agreed with a specific wholesale customer.

Separate written terms agreed between NoteMood and a wholesale customer may take precedence over these Terms to the extent of a direct conflict.

30. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements.

The updated Terms will be posted on the Site with a revised Last Updated date.

Your continued use of the Services after updated Terms take effect will be subject to the revised Terms, except where applicable law requires additional notice or consent.
